Affiliate Agreement

This Affiliate Agreement is entered into between ‘GCSE Online Courses’ (the “Company”) and [you] (the “Affiliate”). All parties agree to be bound by this Agreement.

The Company has developed a series of GCSE online courses (the “Products”) for commercial purposes and holds ownership of all intellectual property, content, image, audio and distribution rights in the Product.

Under the Affiliate Program, you will be paid a Commission Fee of 25% of the net sales value, for each Qualified Purchase of a GCSE Online Courses product (an online revision course) by a Referred User that you refer using the Affiliate link supplied.

Definitions

“Affiliate" - The business, individual, or entity participating in the Affiliate Program, or that displays GCSE Online Courses products and Services and/or promotions on its website, or other channel, using an affiliate tracking code in exchange for receiving a commission from GCSE Online Courses for sales directly resulting from such display.

"Commission Fees" - The amount you will be paid for each Qualified Purchase by a Referred Customer that you refer to GCSE Online Courses.

"Qualified Purchase" - A sale of a Course by GCSE Online Courses to a Referred Customer that is not excluded.

"Referred Customer" - Each new and unique customer referred from Affiliate through a Link (as defined) that a) purchases the product and b) provides valid account and billing information.

Summary of the Affiliate Agreement

We will provide you with a specific link or links which correspond to the products (courses) we have agreed are part of this Affiliate programme.
The link will be specific to you and will send online users to the course(s) sale landing page. You hereby agree to fully cooperate with us regarding the link and that you will explicitly comply with all of the terms of this agreement for the promotion of the link.

We may modify the specific link or links and will notify you if we do so. You agree to only use links which are provided and prior approved by us.

We will determine whether payment is permissible in our sole and exclusive discretion. We reserve the right to reject sales that do not comply with the terms of this agreement.

In order to be eligible for payment, sales must be qualified and result in a completed transaction: a) Are click arriving to our website or landing page through properly formatted links
b) Are clicks arriving to our website through the Affiliate's specifically approved sites or channels. c) Are clicks arriving to our site which relate to one specific user

d) Are not clicks sent by a bot or other automated web programme

Commission Determination

Each Referred User and each Qualified Purchase must meet the following criteria:

  • Each Referred User must be a new and unique visitor to GCSE Online Courses.

  • Commission shall not be paid to the Affiliate for a Referred User that was already tracked

    through GCSE Online Courses tracking system prior to visiting through the Affiliate.

  • Each Referred User must make a Qualified Purchase, and provide a valid payment for the

    purchased GCSE Online Courses product. To generate a Commission Fee for You, each Referred User must be up-to-date in all payments at the time the Commission Fees are processed, and not have been subject to a refund, credit, cancellation, suspension or chargeback

  • Commission Fees may not be paid for the Qualified Purchase if the Referred User received a refund or credit.

  • GCSE Online Courses reserves the right to suspend payment of Commission Fees at any time and indefinitely, if it suspects fraud or Fraudulent Traffic, improper activity or a potential breach of any of the terms in this Agreement by the Affiliate or a Referred User(s).

  • GCSE Online Courses reserves the right to deduct from Affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled purchases. Where no subsequent Commission Fee is due and owing, GCSE Online Courses will send Affiliate a bill for the balance of such Commission set off upon termination of the Affiliate Program or termination of the Referred User.

  • GCSE Online Courses, in its sole discretion, reserves the right to withhold indefinitely any Commission Fee, and/or to reverse, deny or reject any Commission Fee, and/or to deny or reject any Affiliate account, and/or terminate this Agreement immediately, for:

(a) Affiliates whom we believe may be artificially submitting Referred Users or charging double commissions, using false advertising, using marketing practices that we deem to be unethical or likely to attract fraudulent signups and/or signups with a very low likelihood of renewal.

(b) Any direct referral or traffic to GCSE Online Courses Sites from search engines, and/or the use of “GCSE Online Courses” as a key-word for paid ads in search engines, including, without limitations, Facebook, Google, Bing, Yahoo, etc.


(c) Any use of misleading sites, or accounts in social media.

Commission Fee Accrual and Payments

Subject to the terms of this Agreement, We will pay a Commission Fee equal to the specified percentage amount in accordance with the Commission Plan with respect to Qualified Purchases, less any transaction fees and Cancelled Purchases. Commission Fees will be processed through the Teachable platform and affiliates will automatically be paid out by Teachable to the affiliate’s PayPal account. Affiliates must have a valid PayPal account to be paid out by Teachable. Teachable pays school affiliates in USD on the first of every month (or the next business day if the 1st is on a weekend or US holiday) according to our Monthly Payment Gateway schedule. Due to Teachable’s 30-day refund policy, Teachable must hold funds for at least 30 days before releasing them to affiliates. For example, on March 1st, you will receive a payment for all sales that took place in January. Then, on April 1st, you will be paid for sales made in February, and so on.

Affiliate payouts are sent to the PayPal account affiliates have on file in their affiliate dashboard.

Charges for transfers or conversion fees may be deducted from the Affiliate Fee.

Payment Forms/Types

Commission Fees shall be paid based on the current information in Your Affiliate profile. It is your responsibility to notify us promptly of any change in your address or bank details by updating Your profile information.

Taxes Address Changes

  • It is Your responsibility to provide GCSE Online Courses with accurate tax and payment information that is necessary to issue a Commission Fee to You.

  • You are responsible for the payment of all applicable taxes related to the commissions you receive under this Agreement.

    Licenses and Use of the GCSE Online Courses Marks

    Please do not make any specific use of any GSCE Online Courses Marks without first submitting a sample to Us and obtaining the express prior written consent. You agree not to use the GCSE Online Courses Mark in any manner that is disparaging or that otherwise portrays the company or its products, or any employee or representative in a negative light. We reserve all of Our rights in the GCSE Online Courses Marks and of Our other proprietary rights. We may revoke Your license at any time, by giving You written notice. If not revoked, this license shall terminate upon expiration or termination of this Agreement.

    You grant to Us a non-exclusive, royalty free, worldwide license to utilize Your names, titles, content and logos, to advertise, market, promote, and publicize in any manner

    Term and Termination

    The Term of this Agreement will commence upon the date indicated in the document and will end when terminated by either party. You or GCSE Online Courses may terminate this Agreement at any time, with or without cause, upon a 14 days’ prior written notice. You are only eligible to earn Commission Fees on Qualified Purchases occurring during the Term, and Commission Fees earned through the date of termination will remain payable only if the orders for the related Courses are not cancelled and comply with all Terms stipulated in this Agreement. We may withhold Your final payment of Commission Fees for a reasonable time to ensure that all Qualified Purchases are valid and payment from Referred Users are legitimate as determined by the companies in its sole discretion.

Any Affiliate who violates either this Agreement or GCSE Online Courses’ Terms of Service will immediately forfeit any right to any and all accrued Commissions Fees and will be removed from the GCSE Online Courses Affiliate Program.
GCSE Online Courses reserves the right to remove an Affiliate from the Affiliate Program, and to terminate or suspend this Agreement, at any time for any reason, in GCSE Online Courses sole discretion.

Without limitation, Affiliate's participation in the Program, and this Agreement, shall be deemed automatically terminated and all commissions forfeited upon Affiliate's violation of any of the terms of this Agreement, GCSE Online Courses’s Terms of Service or of any applicable law or regulation.

Modification

We may modify any of the terms and conditions contained in this Agreement at any time in Our sole discretion. Such modifications shall take effect when posted on Our site or emailed to you.

YOU USE OUR SITE, THE PROGRAM, THE LINK (INCLUDING ANY WIDGETS) AND OUR SERVICES AT YOUR SOLE RISK AND AT YOUR OWN FREE WILL. YOU ACKNOWLEDGE THAT GCSE ONLINE COURSES IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF THIRD PARTIES

Relationship of the Parties

You and GCSE Online Courses are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on Our behalf. You will not make any statement, whether on Your site or otherwise, that reasonably would contradict anything in this Section.
